(ICSI) - SECRETARIAL EXECUTIVE CERTIFICATE (Regulation 28A & 28B under Chapter-IVA of the Company Secretaries Regulations, 1982 provides for Institute of Company Secretaries of India (ICSI) - Secretarial Executive Certificate) OBJECTIVE TO ISSUE CS – SECRETARIAL EXECUTIVE CERTIFICATE:
To impart recognition to the students who qualified Executive Program and to create employment opportunities for them and thus creating semi-qualified professionals to serve the Practicing Company Secretaries and the Corporates.

A student who has:
passed the Executive Programme;
completed Executive Development Programme or any other equivalent programme as determined by the Council and such Practical Training as is prescribed under these regulations or exempted therefrom; and
made an application in such manner and mode along with such fee as may be determined by the Council.

A student having awarded the Institute of Company Secretaries of India (ICSI) - Secretarial Executive Certificate shall be entitled to use the description “Institute of Company Secretaries of India (ICSI) - Secretarial Executive”.
The grant of Institute of Company Secretaries of India (ICSI) - Secretarial Executive Certificate shall neither confer on such Secretarial Executive any right of a member, nor entitle him to claim membership of the Institute.

Company Secretary in Employment:
Company Secretary has been recognized as Key Managerial Personnel along with the Chief Executive Officer/managing director/manager, whole-time director and Chief Financial Officer.
Being Key Managerial Personnel, Company Secretary is required to be mandatorily appointed in every company belonging to such class or classes of companies as may be prescribed.
As per the Rule 8 of Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, such prescribed class is every listed company and every other public company having a paid-up share capital of ten crore rupees or more shall have whole-time key managerial personnel.
Also as per Rule 8A, i.e. Appointment of Company Secretaries in companies not covered under rule 8; A company other than a company covered under rule 8 which has a paid up share capital of Ten crore rupees or more shall have a whole-time company secretary.

The Institute of Chartered Secretaries and Administrators and the Institute of Company Secretaries of India have supplemented their existing Memorandum of Understanding (MOU) that recognises the common interest both Institutes have in promoting best practice in ‘Company Secretaryship’. Both Institutes wish to encourage greater contact between their two organisations and to make reciprocity of membership more accessible.
This supplement to the 1998 MOU recognizes the new qualifying programmes that each Institute has recently implemented as well as streamlining administrative requirements.
Members of the ICSI can now study with the ICSA division of their choice, subject to residency requirements in some countries. Members of the ICSA can study with the ICSI at a range of Centres in India.
It is clarified that the members of the Institute (Associates / Fellows) in good standing for a minimum period of two years are eligible to derive the benefit of the MOU signed between the two Institutes.
